The Culture Play AGREEMENT (the Agreement) is made between The Culture Radio Network/The Culture Play which is a division of Society Entertainment, Inc. (the "Company"), and your podcast (The “Client"). A. Company is providing hosting and airing of Podcast entitled *selected podcast name* (the "Podcast"). B. Services include but not limited to: • Audio published and hosted on The Culture Play and aired on a station on The Culture Radio Network • Personal page with URL (thecultureplay.com/show/(selected URL))*if needed* C. Podcasts will start on selected date and run weekly. Terms • The Company shall have the right to use The Podcasts name, sobriquet, photograph, likeness, voice and or caricature (collectively Name & Likeness) in connection with commercial advertising and publicity. • All Podcasts, trademarks and copyrights are owned by Client and Client is allowed to monetize on other platforms without compensation to Company. • The Company will maintain archives of the Podcasts and is allowed to host them on the culture play and air on The Culture Radio / The Culture Play website. • When advertising during the Podcasts, participants will refer to the Company as “ (Whatever station they are one) only on The Culture Radio Network”, the website “Thecultureradio.com and will advertise the mobile application that is on Google Play and Apple Store. • The website and all promotion for The Company will include the Podcast if appropriate for the advertising campaign. • The Podcast participants will be allowed to go live during events outside of set time. A request for such time will have to be requested a week prior to the event. • The Podcast participants will supply their own equipment for going live outside of set time and location. • The Podcast may be advertised throughout the week on the radio and website. Frequency and timing will be to the discretion of The Culture Radio Network. • If the Podcast participants cannot send an episode due to any circumstances then an archived show will be played. • If Podcast date falls on a holiday, a archived show will be played. • The company is not responsible for missed air time due to Storm, Virus, internet outage, down server or any other natural and non natural occurrence. ***Note*** if your services are paid monthly payment will not be adjusted. • Podcast participants are allowed to advertise on their show and are allowed to keep 100% of monies from such advertising. Any advertising that is requested outside of the Podcast hours will be subjected to a 60/40 split. (60% the Podcast 40% The Culture Radio Network/ The Culture Play) • The initial term of this Agreement shall be for a period of One Year with a One Year option from the date thereof to renew this Agreement (Only applies to paid plan). Such option must be mutually agreed to by The Company and the Client and both parties must agree via email or signed agreement (30) days prior to the expiration of the initial term. If such notice is not delivered by either party within sixty (30) days of the expiration of the initial term, such initial term shall be deemed expired. • Either Party may terminate this Agreement with immediate effect upon 20 days written (email) notice to the other Party. Client must sign a exit agreement. This Agreement shall be construed in accordance with the laws of the State of Florida governing contracts executed and performed therein, and shall be binding upon and inure to the benefit of the parties, respective heirs, executors, administrators, successors, and assigns. IN WITNESS WHEREOF, the parties hereto have executed this Agreement on the day and year first above written.
